• 1XCESS Platform: Excess inventory management and auction services
• Analytics: Procurement insights and reporting

5. Acceptable Use

You may use our Services only for lawful business purposes in accordance with these Terms. You agree to:

We do not guarantee that:

• Defects will be corrected
• The Services or servers are free of viruses or harmful components
• Market data or pricing information will be accurate or timely

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• 1BUY.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR RELIANCE ON INFORMATION PROVIDED THROUGH THE SERVICES

10. Indemnification

You agree to indemnify, defend, and hold harmless 1BUY.AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Your User Content

11. Termination

11.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature.

11.2 By Us

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Extended period of inactivity

11.3 Effect of Termination

Upon termination:

• Your right to use the Services ceases immediately
• We may delete your account and User Content
• Provisions that by their nature should survive will remain in effect

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

12.2 Jurisdiction

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

12.3 Arbitration

Any dispute that cannot be resolved through negotiation may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in English in Bangalore.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and 1BUY.AI regarding the Services.

13.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date.
